2. The DrawX Service

DrawX is a browser-based software platform that enables users to upload industrial, engineering, manufacturing or technical drawings in PDF format, detect text contained in those drawings, select text for processing, redact selected text and/or translate or convert selected text into another language, and generate a processed PDF output. Depending on the applicable plan and configuration, DrawX may support functions such as:

  • Uploading industrial, engineering, manufacturing or technical drawings and related documents.
  • Detecting, extracting, searching or identifying text within drawings or documents.
  • Redacting selected text, labels, identifiers, customer information, project information or other content selected by the user.
  • Converting or translating drawing text from one language to another.
  • Providing previews, side-by-side review, editing, confirmation or approval workflows.
  • Generating or exporting processed drawing files or related outputs in supported formats.
  • Maintaining project, file, processing or activity information needed to provide the service.
  • Providing organization, user, role and access controls where enabled.

Features, supported file formats, language coverage, processing limits, retention periods, export formats and other functionality may vary by plan, release, technical configuration or commercial arrangement. Scalex may add, modify or discontinue features in accordance with these Terms.

Unless expressly stated otherwise in the applicable product documentation, DrawX processes PDF drawings rather than native CAD files. References in these Terms to drawings or drawing files should therefore be understood primarily as references to PDF-format drawing files uploaded to DrawX.

3. Website Use and Web Application Use

The Website may contain product information, documentation, articles, demonstrations, contact forms and other public materials. The Web Application provides authenticated functionality for processing Customer Content.

These Terms apply to the DrawX public-facing website and the authenticated Web Application, including the DrawX login environment. Additional terms may apply to specific features, beta programs, APIs, integrations, trials or enterprise arrangements.

The Website is provided for informational and business purposes. Product descriptions, demonstrations and examples are illustrative and do not create a guarantee that a particular feature, workflow, accuracy level or result will be available to every Customer.

4. Acceptance and Eligibility

You must have legal capacity to enter into a binding agreement under applicable law. If you are using DrawX for an organization, you confirm that you have authority to bind that organization.

DrawX is intended for professional and business use. Unless an applicable commercial arrangement expressly permits otherwise, individual users must be legally capable of entering into these Terms.

5. Account Registration and Organization Accounts

Certain DrawX functionality requires an account. You agree to provide accurate and reasonably current registration, contact, organization and billing information and to update it when material information changes.

Where DrawX supports organization accounts, the Customer is responsible for its organization account, Authorized Users, user invitations, permissions, roles and activity performed through those accounts.

Scalex may rely on instructions from designated Customer administrators concerning users, access, roles, permissions, configuration and account settings.

6. Login Credentials and Account Security

Users must keep passwords, authentication codes, tokens and other credentials confidential and must not share individual credentials.

  • Promptly notify Scalex if you suspect unauthorized access, credential compromise or misuse.
  • Use appropriate passwords and authentication controls and follow security requirements presented by DrawX.
  • Do not attempt to access another user’s account or bypass authentication or authorization controls.
  • Remain responsible for activity occurring through your credentials to the extent caused by your failure to maintain appropriate security.

Scalex may require credential resets, additional authentication, access restrictions or other reasonable security measures where necessary to protect DrawX, Customers, users or third parties.

7. Customer Content and Ownership

As between Scalex and the Customer, the Customer retains its ownership rights in Customer Content. Nothing in these Terms transfers ownership of Customer Content to Scalex.

The Customer grants Scalex a limited, non-exclusive, worldwide, royalty-free license to host, store, reproduce, transmit, process, transform, display and otherwise use Customer Content only as reasonably necessary to provide, secure, maintain, support and improve DrawX, process requested redaction or language conversion, prevent misuse, resolve technical issues, comply with law and perform obligations under the applicable agreement.

Unless expressly agreed otherwise in writing, Scalex will not sell Customer Content.

Where Outputs are generated from Customer Content, the Customer retains its rights in the underlying Customer Content. To the extent permitted by applicable law and subject to third-party rights and these Terms, the Customer may use Outputs for its lawful business purposes.

8. Customer Rights, Permissions and Confidential Information

The Customer is responsible for ensuring that it has all rights, licenses, permissions, contractual authorizations and consents necessary to upload, process, redact, translate, convert and export Customer Content through DrawX.

Industrial drawings may contain trade secrets, proprietary engineering information, customer information, export-controlled information, personal information, confidential specifications or other sensitive material. The Customer is responsible for determining whether the proposed processing is permitted by its contracts, confidentiality obligations, industry requirements and applicable law.

Scalex will treat Customer Content as confidential and will use reasonable measures to protect it against unauthorized access, use or disclosure. Scalex may disclose Customer Content where required by law, regulation, court order or governmental authority, or where reasonably necessary to protect the security, rights or property of Scalex, DrawX users or third parties.

9. Uploads, File Processing and Technical Requirements

DrawX is designed primarily to process PDF-format industrial, engineering, manufacturing and technical drawings. Supported PDF characteristics, file-size limits, page limits, text layers, scanned content and other technical requirements may vary by plan or release.

The Customer is responsible for ensuring that uploaded files are:

  • Accurate and sufficiently legible for the requested processing.
  • Free from malware, malicious code or intentionally harmful content.
  • Authorized for processing by Scalex and by any third-party service used in the workflow.
  • Not subject to restrictions that prohibit the requested redaction, translation, conversion or storage.
  • Suitable for the selected DrawX workflow and supported file format.

DrawX may fail to correctly interpret text, fonts, character encoding, scan quality, handwriting, symbols, technical abbreviations, rotated text, text embedded in graphics, tables, title blocks, annotations or other drawing elements. Processing may also be affected by low-resolution scans, overlapping objects, unusual fonts, drawing complexity or file corruption.

10. Redaction Functionality

DrawX may provide automated, assisted or user-directed redaction of selected text contained in PDF drawings.

Redaction is an assistive processing function. The Customer is solely responsible for identifying the information that must be redacted and for reviewing the resulting file before it is shared, published, submitted, printed or otherwise relied upon.

Automated detection may miss information, identify information incorrectly, or fail to identify text that is embedded in images, vector objects, metadata, layers, comments, attachments, hidden objects or other elements. Redaction results may also depend on the source file and the selected workflow.

Where DrawX produces a redacted output, DrawX creates a new processed copy of the uploaded PDF; the original uploaded PDF is not itself overwritten by the redaction operation. The Customer must review the resulting redacted copy and verify that the intended information has been adequately removed or obscured before sharing, publishing or otherwise relying on that copy. Because the original PDF remains separately available in the Customer’s DrawX account unless deleted, the redacted copy should not be treated as a permanent alteration or destruction of the original. The Customer is also responsible for determining whether information remains accessible through PDF layers, annotations, metadata, embedded objects, document history or other features, depending on the source file and the processing method.

Unless an applicable product specification expressly states otherwise, Scalex does not warrant that a redacted file is legally sufficient for a particular disclosure, regulatory process, litigation matter, privacy obligation, export-control requirement or confidentiality obligation.

11. Language Conversion and Translation

DrawX may provide automated or assisted translation or language conversion of selected text detected within PDF drawings.

Translation and language conversion may involve OCR, machine translation, AI-assisted processing, terminology matching, formatting reconstruction or other automated techniques. Technical terminology, abbreviations, symbols, units, product names, part numbers and manufacturing instructions may not always be translated or preserved as intended.

The Customer remains responsible for reviewing translated or converted content before using it for manufacturing, engineering, procurement, quality, safety, regulatory, contractual or other consequential purposes.

Unless expressly agreed in writing, DrawX does not provide certified translation, sworn translation, legal translation, safety certification, engineering approval or regulatory certification.

12. Technical Drawing Integrity and Geometry

DrawX is intended to process text contained in PDF drawings. Depending on the source PDF and selected workflow, processing may affect text placement, fonts, line wrapping, text boxes, annotations, rendering or other visual characteristics of the resulting PDF.

The Customer must independently verify that dimensions, tolerances, symbols, notes, references, revision information, units, part numbers, title blocks, drawing scale and other engineering information remain correct after processing.

The Customer must not rely solely on a DrawX output for manufacturing, fabrication, inspection, safety-critical, engineering-release or regulatory decisions without appropriate human review and validation.

13. AI, OCR and Automated Processing

DrawX may use rules, algorithms, OCR, machine learning, artificial intelligence, language models or other automated methods to detect, extract, redact, translate, transform or otherwise process Customer Content.

Automated processing can produce errors, omissions, hallucinations, mistranslations, false positives, false negatives or unexpected formatting. Results may vary between files and processing runs.

Unless otherwise agreed in writing, Customer Content will not be used by Scalex to train or fine-tune general-purpose AI models. Where third-party AI or machine-learning services are used for inference, the handling of Customer Content will be subject to the applicable technical configuration, contractual controls and privacy arrangements.

AI-assisted and automated outputs are decision-support or processing aids and do not replace Customer review, engineering judgment, language review, legal review, quality review or other professional validation appropriate to the intended use.

14. No Training on Customer Content

Except where expressly agreed in writing with the Customer, Scalex will not use Customer Content to train or fine-tune general-purpose artificial intelligence models.

This restriction does not prevent Scalex from using aggregated or de-identified information that does not reasonably identify the Customer, an individual or confidential Customer Content, for analytics, security, service improvement, product development and operational purposes.

15. Output and Customer Validation

Outputs are generated based on the Customer’s files, instructions, configurations and the capabilities of DrawX at the time of processing.

The Customer must review and validate Outputs before use or disclosure. In particular, the Customer should verify:

  • All intended redactions are present and no sensitive information remains visible or recoverable through the processed file.
  • No information has been unintentionally redacted, altered or translated.
  • Technical terms, abbreviations, dimensions, tolerances, symbols, units and identifiers remain correct.
  • The visual layout and drawing content are fit for the intended purpose.
  • The output file opens correctly in the intended downstream software or viewer.
  • The processed file complies with the Customer’s contractual, legal, engineering, quality and confidentiality requirements.

15A. Original Files and Processed Copies

DrawX may retain the Customer’s uploaded original PDF together with one or more processed copies, including redacted or translated versions, within the Customer’s account. Processing a file does not automatically delete or overwrite the original uploaded PDF. The Customer may therefore retain both the original and processed versions and is responsible for selecting the appropriate version for any intended disclosure or use.

16. Third-Party Services and Subprocessors

DrawX may rely on third-party providers for hosting, cloud infrastructure, authentication, storage, OCR, AI inference, translation, analytics, communications, security, monitoring, file processing or other services.

Third-party services are subject to their own terms, availability and technical limitations. Scalex may replace or add providers where reasonably necessary to operate or improve DrawX, subject to applicable privacy and contractual obligations.

Where third-party providers process Customer Content, Scalex will use reasonable contractual and technical measures appropriate to the applicable service and use case.

17. Privacy and Data Protection

Personal information processed through DrawX will be handled in accordance with the DrawX Privacy Policy and applicable data-protection laws.

Where required by applicable law or the nature of the Customer’s use, the parties may enter into a separate Data Processing Agreement (DPA), security addendum or privacy addendum.

The Customer is responsible for determining whether it may lawfully upload personal information or other regulated data to DrawX and for providing any required notices or obtaining any required consents.

18. Data Retention, Deletion and Export

Scalex will retain Customer Content, including uploaded original PDFs and processed PDFs stored in the Customer’s DrawX account, until the Customer deletes the relevant content or until the applicable account or service is terminated, subject to the retention provisions below and any longer period required or permitted by applicable law.

When the Customer deletes a file or other Customer Content through DrawX, Scalex will delete or schedule deletion of that content from active DrawX storage in accordance with its applicable deletion procedures. Deletion may not immediately remove copies maintained in backups, disaster-recovery systems, security logs or other systems where immediate deletion is not technically feasible. Such residual copies will be retained only for the period reasonably necessary for the applicable operational, security, legal or backup purpose and will be subject to applicable access controls.

Where commercially agreed, Scalex may provide data export, transition assistance or additional retention subject to applicable fees, technical limitations and the applicable commercial agreement.

The Customer is responsible for maintaining its own copies of files and Outputs it requires for business, legal or compliance purposes. Deleting content from DrawX may make that content unavailable through the Web Application.

DrawX does not operate on a zero-retention basis unless a separate written agreement expressly provides otherwise. Uploaded originals and generated processed copies may remain in the Customer’s account until deleted by the Customer, subject to the applicable account, retention and deletion procedures.

19. Intellectual Property Rights

Scalex and its licensors retain all right, title and interest in DrawX, including its software, source and object code, interfaces, workflows, algorithms, models, documentation, designs, trademarks, know-how and underlying technology, excluding Customer Content and any Customer-owned materials.

Subject to these Terms and payment of applicable fees, Scalex grants the Customer a limited, non-exclusive, non-transferable, non-sublicensable right to access and use DrawX for the Customer’s internal business purposes during the applicable subscription or service period.

Except as expressly permitted by applicable law or written agreement, the Customer must not copy, modify, distribute, sell, lease, sublicense, resell, reverse engineer, decompile, disassemble, attempt to extract source code or underlying models, or create a competing service based on DrawX.

20. Feedback

If the Customer or an Authorized User provides suggestions, ideas, corrections, feature requests or other feedback concerning DrawX, Scalex may use that feedback without restriction or obligation, provided that Scalex does not thereby acquire ownership of Customer Content.

21. Aggregated and De-Identified Information

Scalex may create aggregated, statistical or de-identified information from use of DrawX, provided that the resulting information does not reasonably identify the Customer, an individual or confidential Customer Content.

Scalex may use such information for analytics, security, service improvement, benchmarking, capacity planning, research and product development.

22. Acceptable Use

You must use DrawX only for lawful purposes and in accordance with these Terms.

You must not:

  • Use DrawX to violate applicable law, regulation, contractual obligations or third-party rights.
  • Upload or process drawings or information that you do not have the right to process.
  • Use DrawX to gain unauthorized access to systems, accounts, files or data.
  • Introduce malware, ransomware, malicious code or harmful content.
  • Probe, scan, attack, disrupt or circumvent DrawX security controls.
  • Attempt to defeat usage limits, authentication, access controls or billing controls.
  • Abuse APIs, automated access mechanisms or processing infrastructure.
  • Use DrawX to build, train or operate a competing service, except where expressly permitted in writing.
  • Reverse engineer or attempt to extract source code, models, prompts, weights or underlying algorithms except to the extent applicable law expressly permits.
  • Use automated processing in a manner that places unreasonable load on DrawX.
  • Use DrawX to process content that is unlawful, defamatory, infringing, malicious or otherwise prohibited by applicable law.

Scalex may investigate suspected misuse and may suspend or restrict access where reasonably necessary to protect DrawX, its users, Scalex or third parties.

23. Free Trials, Demonstrations and Beta Features

Trial, demonstration, proof-of-concept and beta access is provided for evaluation or testing unless otherwise agreed in writing.

Such environments may have limited features, usage limits, processing limits, retention periods, support and availability. Beta or experimental features may produce unexpected results and may be changed or discontinued without notice.

Unless otherwise agreed, trial, demonstration and beta access is provided without warranties and may be discontinued at any time.

24. Subscription, Fees, Usage and Payment

Subscription fees, usage allowances, processing limits, user limits, billing frequency, payment terms and other commercial terms will be stated in the applicable Order Form, pricing page, proposal, invoice or other written agreement.

Fees are exclusive of applicable taxes unless expressly stated otherwise. The Customer is responsible for applicable taxes other than taxes imposed on Scalex’s income.

Unless otherwise agreed or required by applicable law, fees are non-refundable.

If DrawX uses usage-based billing, credits, document counts, pages, processing units or other metered quantities, the applicable pricing or Order Form will govern the calculation of charges.

25. Renewal and Price Changes

Unless the applicable commercial agreement states otherwise, subscriptions may renew for successive periods on the agreed renewal terms.

Scalex may change subscription pricing, plans, limits or packaging on reasonable notice, with changes generally applying from the next renewal period unless otherwise agreed.

Any minimum commitment, notice period or renewal mechanism in an applicable Order Form or negotiated commercial agreement will prevail over this section to the extent of a conflict.

26. Service Availability, Maintenance and Support

Scalex will use reasonable efforts to keep DrawX available, but does not guarantee uninterrupted, timely, secure or error-free operation unless an applicable written service-level commitment expressly provides otherwise.

Scalex may perform scheduled or emergency maintenance, updates, security work, infrastructure changes, model changes and other operational work that may temporarily affect availability.

Support will be provided according to the applicable subscription, support plan or commercial agreement, if any.

27. Changes to DrawX

Scalex may modify, enhance, replace or discontinue features of DrawX from time to time, including for security, legal, technical, third-party dependency or product-development reasons.

Scalex will use reasonable efforts to avoid materially reducing core functionality during an active paid subscription, except where changes are required for security, law, third-party dependencies or circumstances beyond reasonable control.

28. Confidentiality

Each party may receive confidential information of the other in connection with DrawX. The receiving party will use reasonable care to protect confidential information and will use it only for purposes of the relationship.

Confidentiality obligations do not apply to information that is public without breach, already lawfully known, independently developed without use of confidential information, or lawfully received without restriction.

A receiving party may disclose confidential information where required by law, subject where legally permitted to prior notice to the disclosing party.

29. Customer Indemnification

The Customer will defend, indemnify and hold harmless Scalex and its affiliates, officers, employees and agents from third-party claims arising from Customer Content, the Customer’s or Authorized Users’ unlawful use of DrawX, violation of these Terms, or infringement of third-party rights by Customer Content or Customer use.

Scalex will provide reasonable notice of a claim and reasonable cooperation, at the Customer’s expense, subject to the Customer’s indemnification obligations.

30. Disclaimer of Warranties

To the maximum extent permitted by law, DrawX and the Website are provided on an “as is” and “as available” basis.

Scalex disclaims warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, reliability, availability and uninterrupted or error-free operation, except to the extent such warranties cannot lawfully be excluded.

Without limiting the foregoing, Scalex does not warrant that:

  • Every uploaded drawing or file will be correctly interpreted.
  • Every text element will be detected.
  • Every redaction will be identified, applied or made irreversible.
  • Every translation or language conversion will be accurate, complete or technically appropriate.
  • Formatting, layout, fonts, layers or visual elements will be preserved exactly.
  • Outputs will satisfy a particular engineering, manufacturing, quality, regulatory, contractual or legal requirement.
  • DrawX will be uninterrupted, secure or free from defects.

31. Customer Review and Professional Responsibility

The Customer is responsible for independently reviewing and validating Customer Content, processing instructions, redactions, translations, Outputs and any decisions made using DrawX.

DrawX is a software tool and does not replace appropriate engineering, manufacturing, quality, legal, regulatory, language, procurement, safety or management review.

Where an Output will be used for safety-critical, regulated, contractual, manufacturing-release, inspection or other consequential purposes, the Customer should apply appropriate human review and approval procedures.

32. Limitation of Liability

To the maximum extent permitted by law, Scalex will not be liable for indirect, incidental, special, consequential, exemplary or punitive damages, or for loss of profits, revenue, business opportunities, goodwill, anticipated savings or data, arising out of or relating to DrawX or these Terms.

To the maximum extent permitted by law, Scalex’s aggregate liability arising out of or relating to DrawX or these Terms will not exceed the fees actually paid by the Customer to Scalex for DrawX during the twelve (12) months immediately preceding the event giving rise to the claim.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.

33. Suspension

Scalex may suspend or restrict access to DrawX where reasonably necessary to address security threats, unauthorized access, misuse, legal requirements, material breach, or materially overdue undisputed fees.

Where practicable, Scalex will provide notice and an opportunity to remedy the issue before suspension. Immediate suspension may occur where delay could create material risk to DrawX, users, Scalex or third parties.

34. Termination

Either party may terminate the applicable subscription or service arrangement in accordance with the applicable commercial agreement.

Scalex may terminate or suspend access for material breach that remains uncured after applicable notice and cure periods, or where continued provision is prohibited by law or creates material security or operational risk.

Termination does not affect rights or obligations that accrued before termination.

35. Effect of Termination

Upon termination or expiry, the Customer and Authorized Users must stop using DrawX unless otherwise agreed.

Customer Content will be handled in accordance with the data retention and deletion provisions in these Terms and the applicable commercial agreement.

Provisions concerning intellectual property, confidentiality, indemnification, disclaimers, limitation of liability, governing law, dispute resolution and other provisions intended by their nature to survive will survive termination.

36. Compliance with Laws

Each party will comply with applicable laws and regulations in connection with its activities under these Terms.

The Customer is responsible for determining whether its use of DrawX and the information it processes complies with industry-specific, contractual, privacy, export, employment, procurement, intellectual-property, confidentiality and other requirements applicable to its business.

37. Export Controls and Sanctions

The Customer will not use DrawX in violation of applicable export-control or sanctions laws and will not permit access by persons or entities where such access is prohibited by applicable law.

Because industrial drawings may contain controlled technical information, the Customer is responsible for determining whether any drawing or related information is subject to export controls, technology-transfer restrictions, contractual restrictions or similar requirements before uploading it.

Scalex may restrict or terminate access where reasonably necessary to comply with sanctions, export-control or other legal requirements.

38. Force Majeure

Neither party will be liable for delay or failure caused by events beyond its reasonable control, including natural disasters, war, terrorism, civil unrest, government action, widespread internet or infrastructure failures, labor disputes, epidemics, failures of third-party infrastructure or other events beyond reasonable control, except for payment obligations that have already accrued.

39. Governing Law

These Terms are governed by the laws of India, without regard to conflict-of-law principles.

40. Dispute Resolution and Jurisdiction

The parties will first attempt in good faith to resolve disputes through discussions between authorized representatives.

Subject to applicable law, courts located in Pune, Maharashtra, India will have exclusive jurisdiction over disputes arising out of or relating to these Terms, unless the applicable commercial agreement provides otherwise.

41. Notices

Scalex may provide notices through the DrawX Web Application, email, the Customer’s registered account or other reasonable electronic means.

Legal notices to Scalex should be sent to the contact details in Section 47 unless a different notice address is specified in the applicable commercial agreement.

42. Changes to These Terms

Scalex may update these Terms from time to time. The updated version will be made available through the DrawX Website or Web Application.

Where an update materially affects the Customer’s rights or obligations, Scalex will use reasonable means to provide notice. Continued use of DrawX after the effective date of updated Terms constitutes acceptance, except where applicable law requires another form of acceptance.

Scalex may require the Customer or Authorized Users to accept updated Terms through the Web Application before continuing use.

43. Assignment

The Customer may not assign or transfer these Terms without Scalex’s prior written consent, except in connection with a merger, reorganization or sale of substantially all assets where the assignee assumes the applicable obligations.

Scalex may assign these Terms to an affiliate or in connection with a merger, acquisition, reorganization or sale of the relevant business or assets.

44. Relationship of the Parties

The parties are independent contractors. Nothing in these Terms creates a partnership, joint venture, agency, employment relationship or franchise.

45. No Waiver

Failure to enforce any provision of these Terms is not a waiver of the right to enforce that provision later.

46. Severability and Entire Agreement

If any provision is held invalid or unenforceable, it will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will remain in effect.

These Terms, together with any applicable Order Form, proposal, statement of work, commercial agreement, Privacy Policy, Data Processing Agreement and other expressly incorporated documents, constitute the agreement governing the Customer’s use of DrawX.

If there is a conflict, the applicable negotiated commercial agreement or Order Form will control over these Terms to the extent of the conflict, unless expressly stated otherwise.
